MEMBERSFLUX Terms of Use

MembersFlux is a website operated by Agilee ltd ("MembersFlux", "Agilee", "we", "us", "our") that allows organizations (clubs, societies, associations, non-profits, groups) to manage their memberships, organizing events, publishing content (articles, photos, videos, links) and communicating with their members.

These terms describe how the service works and what we require in order to use it. To use this website you must read, agree and accept these terms, the cookies policy and the privacy policy.


Overview

Membership Management

Organizations subscribe for a service that enables them to register their members and manage their subscriptions. Membership renewals, overdue membership reminders and upcoming payment notifications are sent automatically to members.

Memberships can't auto-renew automatically, members must explicitly accept or opt-out their membership renewals.

Member Payments

Memberships are paid the organizations and we are not related to that in any way unless the payments are collect by a payment gateway in the platform where we may take an administration fee (organizations can be subjected to payment fees and conversion charges by the third-party payment provider).

The organizations may also collect payments for their events tickets or any merchandise they may sell through the platform or website connected to this service.

Members and non-members Data

Members and non-members (companies or individuals who do not pay memberships) data and its privacy are protected by our policies, but the organizations that collect and register the individuals’ data are responsible to obtain the right consent according to each one of their activities or purposes.

For individuals under the age of 18 the organizations are responsible to get their parents or legal tutor consent.

Organizations are also responsible to inform their members about their privacy policy and for the data security outside this service.

Individuals have the right to request their data to be removed by navigation to their account settings or by requesting it directly to their organization. Some data can't be removed by law and will leave in the system's storage until it can as we have stated on the privacy policy. If the data is removed organizations won't be able to provide any type of document or certificate related to any activity.

Individuals can access and modify their personal data by accessing their account or asking their organizations to provide a copy or to make the necessary amendments. When changing their data, individuals must provide accurate information in a way that it may not harm the organization.

Events organization

Organizations can create and organize their events calendar and invite members and other individuals to attend. Individuals can register to events and have their information on the attendance lists. Organizations may charge for these events and are responsible to get the participants consent for the registered data and its specific use.

Communication

The website provides several means that allows organizations to communicate and collaborate with their members and non-members by email or SMS text. The platform send automated or transactional notification and reminders by email.

Every notification or reminder is sent to members to their preferred contacts and according to their consent as explained in our privacy policy. Individuals can change their preferences at any time.

Though individuals can opt-out from all forms of communication they will be less included in their community or may not receive some important notifications about their memberships by doing so.

User content

Content published (text, photos or videos) by the organizations or members are their responsibility and are not monitored by us.

They must not publish any type of content they may be offensive to others or related to illegal activities. Content links or links published must not lead to such websites as well.


Security

MembersFlux and its data servers are hosted in considered secure servers with the most up-to-date software patches. We also timely modify the software to use the best security patterns and practices.

For security reasons organizations and their members are responsible to use safe and strong passwords, logout from their software sessions after user and block their devices when left unintended. They are also responsible to have their devices protected against vulnerability exploits, viruses and malware.


Acceptable use

The following terms constitute our "Acceptable Use Policy":

You agree not to use the Site to collect, upload, transmit, display, or distribute any User Content (i) that violates any third-party right or any intellectual property or proprietary right; (ii) that is unlawful, harassing, abusive, tortious, threatening, harmful, invasive of another’s privacy, vulgar, defamatory, false, intentionally misleading, trade libellous, pornographic, obscene, patently offensive, promotes racism, bigotry, hatred, or physical harm of any kind against any group or individual; (iii) that is harmful to minors in any way; or (iv) that is in violation of any law, regulation, or obligations or restrictions imposed by any third party.

In addition, you agree not to: (i) upload, transmit, or distribute to or through the Site any software intended to damage or alter a computer system or data; (ii) send through the Site unsolicited or unauthorized advertising, promotional materials, junk mail, spam, chain letters, pyramid schemes, or any other form of duplicative or unsolicited messages; (iii) use the Site to harvest, collect, gather or assemble information or data regarding other users without their consent; (iv) interfere with, disrupt, or create an undue burden on servers or networks connected to the Site, or violate the regulations, policies or procedures of such networks; (v) attempt to gain unauthorized access to the Site, whether through password mining or any other means; (vi) harass or interfere with any other user’s use and enjoyment of the Site; or (vi) use software or automated agents or scripts to produce multiple accounts on the Site, or to generate automated searches, requests, or queries to the Site.

We reserve the right to review any User Content, and to investigate and/or take appropriate action against you in our sole discretion if you violate the Acceptable Use Policy or any other provision of these Terms or otherwise create liability for us or any other person. Such action may include removing or modifying your User Content, terminating your Account in accordance with Section 8, and/or reporting you to law enforcement authorities.


Copyright

MembersFlux respects the intellectual property of others and asks that users of our Site do the same. In connection with our Site, we have adopted and implemented a policy respecting copyright law that provides for the removal of any infringing materials and for the termination of users of our online Site who are repeated infringers of intellectual property rights, including copyrights. If you believe that one of our users is, through the use of our Site, unlawfully infringing the copyright(s) in a work, and wish to have the allegedly infringing material removed, the following information in the form of a written notification with all relevant information.

This website uses some freeware and open source components and libraries. It may also use content (text and pictures) under the Creative Commons CC0 license.

References to Products and Brands

On this site some brands and products are referred to, rather than simply listing those names and informing who owns their exploitation rights, or to print their logo, the author declares that he is using such names for editorial purposes, for the exclusive benefit of owner of the trademark, without the intention of infringing the rules of its use.

MembersFlux is a service managed and owned by Agilee ltd. Its name and logo are also our property.

The content and software of this site were created developed by Agilee and is protected by the copyright legislation in force in this country and by the international rules established in the Berne Convention.
